Mary Ann Deacon
Chairman of the Board

Ms. Deacon is the Secretary and Treasurer of Deacon Homes, Inc., a real estate development company in Sparta, New Jersey. She has over thirty years of extensive experience in the real estate development process, building contracting, property management and sales. In addition to serving on every committee of the Board during her tenure with Lakeland Bancorp, Inc., Ms. Deacon has held leadership and committee positions in state and local real estate associations, during which time she has gained experience in ethics, professional standards, strategic planning and governance. In January 2010, Ms. Deacon was elected Vice Chairman of the Boards of Lakeland Bancorp, Inc. and Lakeland Bank, and in May 2011, she was elected Chairman of the Boards of Lakeland Bancorp, Inc. and Lakeland Bank. Ms. Deacon has been a member of the Board of Lakeland Bancorp, Inc. since 1995.

Thomas J. Shara
President and Chief Executive Officer
Director since 2008
Mr. Shara, President, Chief Executive Officer and a member of the Boards of Lakeland Bancorp, Inc. and Lakeland Bank, has over thirty years of experience in the banking industry, including leadership positions at prior institutions and trade and charitable organizations. Mr. Shara serves as a member of the Federal Reserve Bank of New York’s Community Institutions Advisory Counsel, on the Board of Directors of the Commerce and Industry Association of New Jersey, the Board of Trustees of the Boys and Girls Club of Paterson and Passaic, New Jersey and is Vice Chairman of the Board of Trustees of the Chilton Hospital Foundation. He also serves on the Board of Governors of the Ramapo College Foundation. Mr. Shara has been a member of the Board of Lakeland Bancorp, Inc. since April 2008.

Bruce D. Bohuny
Director since 2007
Mr. Bohuny is the President of Brooks Limited, a construction company in Franklin Lakes, New Jersey. He has nearly twenty years of experience in the real estate business, particularly land development and building, as well as a background in the equity and fixed income markets. Mr. Bohuny has been a member of the Board of Lakeland Bancorp, Inc. since July 2007.

Roger Bosma
Director since 1999
Mr. Bosma is the former President and Chief Executive Officer of Lakeland Bancorp, Inc. and Lakeland Bank. He has fifty years of banking experience in all areas of the industry, including asset/liability management, loans and asset quality, retail banking, the audit function and overall bank operations. Mr. Bosma served in many prominent positions in the banking industry, including as chairman of the New Jersey Bankers Association and a member of the Community Bankers Committee of the American Bankers Association, and held leadership positions in numerous charitable organizations, including the Chilton Hospital Foundation, the Juvenile Diabetes Research Foundation, the Ramapo College Foundation and Paterson Habitat for Humanity. He has been a member of the Board of Lakeland Bancorp, Inc. since 1999.

Brian Flynn
Director since 2010
Mr. Flynn is a partner at O'Connor Davies, LLP, one of the largest regional accounting firms in the tri-state area. With nearly thirty years of experience as a practicing certified professional accountant, Mr. Flynn has in depth knowledge of generally accepted accounting principles and auditing standards. He has worked with audit committees and boards of directors, including previously serving on the Boards of TD Banknorth, Inc. and Hudson United Bancorp, and provides Lakeland Bancorp, Inc.’s Board and Audit Committee with extensive experience in auditing and preparation of financial statements. Mr. Flynn has been a member of the Board of Lakeland Bancorp, Inc. since June 2010.

Mark J. Fredericks
Director since 1994
Mr. Fredericks, the President of Fredericks Fuel and Heating Service and Keil Oil Inc., fuel oil distributors in northern New Jersey, has extensive service as a director of Lakeland Bancorp, Inc. and Lakeland Bank. He has experience in the real estate industry, having managed a number of real estate partnerships. Mr. Fredericks has held leadership positions in numerous charitable organizations. He served as a trustee of Chilton Memorial Hospital, at which time he served as a member of the finance committee, and presently as president of the West Milford Education Foundation. Mr. Fredericks has been a member of the Board of Lakeland Bancorp, Inc. since 1994.

Janeth C. Hendershot
Director since 2004
Ms. Hendershot, having most recently served as global team project lead for Munich Re Group, has significant experience in the leadership and management of various corporate entities and their operations. She also has experience in managing and controlling risk-taking operations within the insurance industry, and in information technology strategy and developments. Ms. Hendershot received an economics degree from Cornell University and is the chairman of Lakeland Bancorp, Inc.’s Compensation Committee and has been a member of the Board since 2004.

Robert E. McCracken
Director since 2004
Mr. McCracken is an owner and operator of various businesses and real estate within our geographic footprint and has over fifteen years experience serving on the boards of various banks. A lifelong member of our communities, he has held leadership positions in numerous charitable organizations. Currently he serves as Chairman of the Newton Medical Center Advisory Board and is a member of the board of Atlantic Health Systems. Mr. McCracken is the chairman of Lakeland Bancorp, Inc.’s Nominating and Corporate Governance Committee and has been a member of the Board since 2004.

Robert Nicholson III
Director since 2003
Mr. Nicholson, President and Chief Executive Officer of Eastern Propane Corporation, has broad experience in the management and acquisition of companies and commercial real estate. As a result of his civic and business commitment to our communities, Mr. Nicholson has been honored with the Outstanding Citizen of the Year award from Sparta Township and as a Distinguished Citizen by the Boy Scouts of America, Patriots Path Council. He also received the Distinguished Alumni Award from his alma mater, Florida Southern College, for outstanding service to his professions and community. Mr. Nicholson has been a member of the Board of Lakeland Bancorp, Inc. since 2003.

Joseph P. O'Dowd
Director since 1998
Mr. O’Dowd is the president of O’Dowd Advertising, a partner in real estate holding companies and the former owner and operator of a food manufacturing business. He has extensive knowledge of the banking industry, having served on the boards of banks for nearly thirty years. In addition to being an active member of our business community, Mr. O’Dowd serves as a director of the Montville Chamber of Commerce. He formerly served as president of the Montville Kiwanis Club and as Deputy Mayor and a member of the Planning Board of Montville Township. Mr. O’Dowd is the chairman of Lakeland Bancorp, Inc.’s Audit Committee and has been a member of the Board since 1998.

Stephen R. Tilton, Sr.
Director since 2001
Mr. Tilton, Chairman and Chief Executive Officer of Tilton Securities, LLC, has extensive and diverse experience and knowledge of the financial markets, interest rates and financial instruments, including derivate products. This experience also includes having served as chairman of GovPx, a company organized by dealers and brokers which provides financial prices on all U.S. Treasury securities, and involvement in establishing a clearing house for all government securities trading globally and various federal funds markets. Additionally, he serves as president of Tilton Automotive Group, which consists of two automotive dealerships in northern New Jersey. Mr. Tilton has been a member of the Board of Lakeland Bancorp, Inc. since 2001.
